My initial thoughts are that the profit share should be (at least) a 60/40 split in your favour, although this can be discussed further with any interested parties.

Although I would retain ownership of the domain name, you will have complete freedom to develop the site as you see fit. You would need to provide me with statistics as to site performance/earnings etc, or another account could be created on specific affiliate networks so that we can both track performance that way.
