To create, maintain a website and ensure page 1 ranking of Google for at least 5K site hits per month and to be paid on performance of the website.
To set up and maintain the affiliate scheme to go live after the testing time which they can partake in.

Terms and conditions for a website design build and manage.
WEB DEVELOPER & SEO and/or the service of design, building the website will be referred to as “developer” and/or “developing”.
The web site that the developer will create will be referred to as “the site”.
The specification (see spec) for the site will be referred to as the “spec”.
The first three months after the web site going live is here on referred to as the “testing Time”.
The earning of commission from the sale of a product, on the site, is here on referred to as the “affiliate scheme”.
The Quoted price of creating the site, for the spec, is here on referred to as the “site fee”. Which is £XXXX.XX.
The Quoted monthly price of maintaining the site and SEO Service is here on referred here on as the “monthly fee”. Which is £XXXX.XX per month.

The developer agrees to design, build the website to the spec for a site fee and SEO the site so that it has a high page rank which will include at least unique 5K hits to the site per month and maintain this level of SEO, the site and hits for a monthly fee.
Payment, to the developer, for the site, from BC Ideas, will be though the affiliate scheme within the testing time then BC Ideas will own the website for the site fee, which will be accrued in the testing time by the developer and BC Ideas may choose to pay the monthly fee to maintain the site and it’s high page rank to the developer.
At the end of the testing time BC Ideas will own the website including: the URL, all software and programming within the site, all graphics, logos and text, all product, customer and supplier details and all passwords and site access.
The developer will be able to, as an affiliate, earn an unlimited fee, as commission, (may be limited to stock). However In the event that less than the site fee is earned, as an affiliate, in the testing time the difference will be forfeit.
The developer has the right to be the only primary affiliate during the testing time and will earn a commission for all sales they bring to the site.
The developer has the right to get secondary affiliates, including within the testing time and will earn from the secondary affiliate commission for all sales on the site made by those secondary affiliates, as long as the developer is in the affiliate scheme.
The commission, payable to the affiliate, will be 0.1% of any sales by the affiliate and 0.025% of any sales by a secondary affiliate. A secondary affiliate is an affiliate that signs up to be an affiliate, after being brought to the site by another affiliate.
All affiliates, except the developer, must comply with the terms of the affiliate scheme. The developer will adhere to the terms of the affiliate scheme with an addendum letter.
The Developer will appoint one person who will manage all aspects of website and supply that persons contacts details with the tender letter. If that person leaves the developers company, a new person will be appointed by the developer.



 
Spec:
The website will have:
• Multi-level access where:
o accountants can read the contacts database,
o affiliates can edit their own contact details and
o customers can input their contact details and ID number be stored on a cookie so no need to re-enter
o Each supplier can post and edit multiple products and there can be multiple suppliers.
• Store, display and search all product and supplier details
• A customer contact catcher form which will redirect to the contact details for the products supplier. (the site will only allow the supplier contact details to be displayed after reviving the customer contact details)
• Able to automatically list products from incoming RSS feeds, by registering them online and list products using online forms, both to include hosted text,photos and video.
• An affiliate scheme. This to include: link tracking with the contact details form as the conversion, outgoing RSS feeds with incoming contact forms, secondary affiliates listing.
• 12 months of site hosting and url
• Adequate band width as dictated by the testing time.
• Comply with the data protection act and all other relevant law

In the testing time identify the converting key words then including those keywords in the SEO maintenance contract.
