How much do the two passes overlap ? For example, both appear to include Hampton Court Palace, but as fas as I can tell, the Heritage Pass doesn't include the Tower of London and Windsor Castle.

You're right - there is some overlap on heritage properties in London but not a total overlap.
Obviously the GBHP list extends to all the other amazing heritage sights around Britain whilst London Pass also includes some of the more modern day attractions like the London Zoo and aquarium.
The properties that do overlap in London are:
Tower Bridge Exhibition
St Paul's Cathedral
Royal Albert Hall
Jewel Tower
Shakespeare's Globe Exhibition and Theatre Tour
Hampton Court Palace
Eltham Palace
The Wernher Collection at Ranger's House
Wellington Arch
Apsley House

All the banners and links from CJ point to London Pass. I can't find any that mention GB Heritage Pass. Are there two separate programs?
