1) Structure and Management of Associate Websites

We will provide you with a range of graphics and text links (hereafter “links”) for your website which you may use as detailed in the contract. These are available at: http://www.Zanox.co.uk.
You may integrate these links as you see fit on your website. Links may only be used on websites with an address (URL) that was supplied when you registered for the bonprix associate program. Links serve to identify your website within our network of associates and represent a partnership between your website and ours. Links redirect users to various areas of our website.

Please adhere to our directions on technical installation and link maintenance. To enable correct imbursement, please use only links provided by bonprix. To guarantee links remain up-to-date, please replace content regularly with the new texts bonprix supplies, provided bonprix does not update or modify the content itself.

You bear sole responsibility for the maintenance of your website. If you use our links, you must ensure that links or information about bonprix products are regularly updated. You must almost ensure obsolete links and texts are deleted if they are not updated or modified by bonprix itself.


2) Right of Use

You are granted a non-exclusive, non-transferable license to access our website through links defined in the contract http://www.Zanox.co.uk. This license may be revoked at any given time. You may only use the bonprix logo and other material promoting our website (at http://www.Zanox.co.uk) in connection with such links. This license serves only to create links between your website and ours that allow users to purchase bonprix products. Under no circumstances may you revise or modify any licensed material. A breach against any part of this agreement entitles bonprix to terminate the partnership without notice.
The technical or graphic revision or modification of any licensed material is strictly prohibited. Specific means of advertising (e.g. banner, text link, etc) must be maintained.


Responsibilities

You bear sole responsibility for your website’s design, management and all content posted. This applies in particular to the operation of your website and the necessary technical systems. You are responsible for ensuring that any information relating to bonprix products on your website is correct and that the content neither infringes upon the rights of third parties, is of an illegal or disreputable nature nor substantially injures the business interests of bonprix.
Above all, you are responsible for ensuring your website is free from any form of pornography, violent or menacing content (sexual or physical abuse, the exploitation or killing of humans or animals), defamatory, discriminatory, insulting or libellous depictions, any content defined as harmful to minors, radical or extremist political views, trivialisation or glorification of weapons, drugs, improper language (sexist, indecent, blaspheme, etc) and that it contains no links to other websites that do so.

You are obliged to exempt us from any third party claims and expense that may arise from neglect of your responsibilities, be it the creation, management, maintenance or the content of your website. You will also defend bonprix in the case of third party claims by providing statutory declarations, in particular affidavits, or any other information required.
You will refrain from any actions that may restrict the working order of the software or the system (e.g. mail bombs, etc) and are liable for all damage that bonprix may incur through such.

You website must be designed so it cannot be confused with our website or create the impression that it is part of our website. The use of pop-ups and pop-unders are prohibited. You may not use any material on your website that has not been approved by us or obtained from our website. The name of your domain and your website’s metatext may not contain the terms “bonprix” or “bonprix.co.uk”. The use of these terms in search engines or sponsored links, pay-per-click advertisements, keyword advertising, keyword targeting (e.g. GoogleAdwords, etc) by providers (e.g. Google, Overture, Espotting, etc) is not permitted. The use of the display-URL www.bonprix.co.uk and the transmission to www.bonprix.co.uk is permitted. You will not distribute any other material, whether directly or indirectly, without having first sought our approval and obtained our written consent. This applies especially if you advertise your own website through a third party or other media using the material cited above or with reference to bonprix. Your website and any advertisements using the material cited above or with reference to bonprix must not be confused with bonprix’s own website or advertisements placed by bonprix.

You are not authorized to launch any special offers on our behalf nor will you represent us. You will not be involved in the processing of sales transactions between us and our customers. You will not act as a bonprix sales representative or commissioner, or insinuate as much to third parties, nor may your website’s design imply as such.

Your website must be operated independently. You bear sole responsibility for the content according to §8 of the “German Teleservices Act ”. You are obliged to observe the rules and regulations of the “German Teleservices Data Protection Act ” (with sole responsibility for the respective policies cited in the “German Teleservices Data Protection Act”, especially with regard to storing Cookies), the “German Data Protection Act ” and will not cause bonprix to become subject to claims of data protection abuse through no fault of their own.

bonprix reserves the right to take further legal action if required.
